1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of northviax.com (the "Site") and the wholesale services offered by NorthViax LLC, a Wyoming Limited Liability Company ("NorthViax," "we," "us," or "our"). By accessing the Site or submitting a wholesale account application, you agree to be bound by these Terms. If you do not agree, do not use our Site or services.

2. Wholesale Account Eligibility

NorthViax LLC operates exclusively as a business-to-business (B2B) wholesale distributor. Access to wholesale pricing, product catalogs, and order placement is restricted to approved account holders only. To be eligible for a wholesale account, you must:

• Be a legally registered business entity (LLC, corporation, sole proprietorship, or equivalent)
• Provide accurate and complete business information during the application process
• Hold a valid resale certificate or equivalent documentation if required by your state
• Intend to purchase products for resale, not personal consumption

NorthViax reserves the right to approve or deny any wholesale account application at its sole discretion. Providing false or misleading information during the application process will result in immediate denial or termination of your account.

3. Account Responsibilities

Approved account holders are responsible for:

• Maintaining the accuracy of their business and contact information
• Ensuring that all purchases comply with applicable federal, state, and local laws
• Maintaining the confidentiality of their account credentials
• All orders placed under their account

4. Pricing and Orders

All prices are wholesale prices available only to approved account holders. Prices are subject to change without notice. An order constitutes an offer to purchase and is not confirmed until you receive a written order confirmation from NorthViax. We reserve the right to refuse or cancel any order, including after confirmation, if a pricing error or product availability issue is identified.

5. Payment Terms

Payment terms are specified at the time of account approval and may include payment in advance, net-30 terms for qualifying accounts, or other terms as agreed in writing. Invoices not paid within the agreed terms are subject to a late payment fee of 1.5% per month on the outstanding balance. NorthViax reserves the right to suspend account access for overdue balances.

6. Minimum Order Quantities

Minimum order quantities (MOQ) vary by product category and brand. MOQ details are communicated to approved account holders at the time of account onboarding and are subject to change with reasonable notice.

7. Product Information

NorthViax sources products through authorized brand and distributor channels. We make reasonable efforts to ensure product descriptions and specifications are accurate, but we do not warrant that product information is error-free. Images shown are for illustrative purposes only. Actual product packaging may vary.

8. Limitation of Liability

To the fullest extent permitted by law, NorthViax LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or products, including but not limited to lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or our services shall not exceed the total amount paid by you for the specific order giving rise to the claim.

9. Intellectual Property

All content on northviax.com, including but not limited to the NorthViax name, logo, graphics, text, and page layouts, is the property of NorthViax LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

10. Prohibited Uses

You agree not to:

• Use our Site or services for any unlawful purpose or in violation of any applicable laws
• Misrepresent your business identity or provide fraudulent documentation
• Attempt to gain unauthorized access to any part of our systems
• Resell products in a manner that violates the terms or brand guidelines of the original manufacturer

11. Termination

NorthViax reserves the right to suspend or terminate your wholesale account at any time, with or without notice, for any violation of these Terms, non-payment, or conduct we determine to be harmful to our business or other account holders. Outstanding balances remain due upon termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to northviax.com. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
